By-Laws of Adirondack Jeeps, Inc.
THESE BYLAWS, ACCEPTED AND APPROVED BY ADIRONDACK JEEPS, INC, heretofore referred to as ADIRONDACK JEEPS, this 16th day of May in the year TWO THOUSAND FOUR.
ARTICLE I - NAME
SECTION 1. This organization shall be known as Adirondack Jeeps.
ARTICLE II - OBJECTIVES
SECTION 1. Adirondack Jeeps is organized as a nonprofit organization for the purpose of:
a. Providing social, educational, and recreational activities for its membership.
b. Participating in and supporting civic activities for the betterment of the community.
c. Promote safe and sensible operation of our stock and modified Jeep vehicles, both on and off-road.
ARTICLE III - MEMBERSHIP AND DUES
SECTION 1. Owners of all FULL SIZE 4x4 vehicles are eligible for membership in Adirondack Jeeps.
SECTION 2. Each membership includes the immediate family; however, voting power is restricted to that of the member.
SECTION 3. All members must conduct themselves in a respectable and orderly fashion whether in or out of club activities. Any member disgracing him or herself in the public eye will be immediately subject to expulsion from the club; subject to decision by the Board of Directors. Adirondack Jeeps will not tolerate any discrediting action from its membership, including offensive use of alcohol. Use of illegal drugs will not be tolerated, and subject to IMMEDIATE dismissal.
SECTION 4. All applicants for membership must be at least 18 years of age (those under 18 must be sponsored by parents), must hold a valid driver's license, and must show minimum insurance coverage on their vehicle.
SECTION 5. A member in good standing must sponsor an applicant for membership.
Upon completion of the application and dues process, applicant will be given
"Trial Membership" status. Trail Membership benefits shall be set by the BOD.
SECTION 6. Applicant for membership must attend, in their own vehicle, two club events prior to final approval. The Board of Directors may make exceptions for applicants who are unable to attend at least two club events before membership can be considered. Each applicant will properly fill out an application, to be submitted to the club Secretary, before membership can be accepted. Upon fulfillment of requirements, each applicant shall be reviewed and voted on, by the Board of Directors, at a regular club business meeting. Balloting is to be done in secret. Applicant must be accepted by a two-thirds majority vote.
SECTION 7. A membership grace period will be established for all new members from January 1, 2004 through December 31, 2004. All new members joining during this grace period will not be required to be sponsored, and will pay the entire balance of dues ($50) upon submittence of his/her membership application.
SECTION 8. Dues for the organization shall be fifty ($50) dollars per year, due and payable on or before September 30. Any member whose dues are not paid by September 30 will be dropped from the rolls of the organization. Reinstatement shall be handled the same as a new application. Dues for partial year membership shall be assessed at twenty ($25) dollars for 1/2 year and fifty ($50) dollars for more than 1/2 of the year. Dues paid by a new member in July and August shall be $50 without renewals due in September.
(In a nutshell, dues for the club are $50 from September 1st to March 1st. From March 1st to June 30th dues are $25. July and August dues are $50 with no renewal due in September of that year.)
SECTION 9. Each member of Adirondack Jeeps automatically becomes a member of East Coast Four Wheel Drive Association, upon acceptance of membership to Adirondack Jeeps and payment of FULL YEAR DUES. Annual dues, as assessed by the Association, shall be paid by Adirondack Jeeps from the annual dues assessed to each member. Should a member who is joining and paying for a partial year wish to join EC4WDA, dues for that organization shall be made separate.

SECTION 12. All personal expenses such as uniforms, equipment, etc., shall be borne by each individual and not be financed by the club.
SECTION 13. Members shall immediately notify the Secretary upon change of mailing address, home address, and telephone number or e-mail address.
SECTION 14. Resignation of any member shall be in writing (email/snail mail) and submitted to the Secretary.

SECTION 17. These by-laws may be amended by a two-thirds majority vote at a regular membership meeting, a quorum being present and voting. Any amendment to the by-laws must be presented to the membership at the regular membership meeting proceeding in which the vote is taken. A motion for an amendment to the by-laws, which is defeated, shall not be brought up again for a minimum of ninety days.
ARTICLE IV - MEETINGS
SECTION 1. Meetings of the membership of Adirondack Jeeps shall be held a minimum of one meeting per month. Check the website and/or forum for detailed times and dates.
SECTION 2. AT LEAST 33% of the membership present at a meeting shall constitute a quorum.
ARTICLE V - ADMINISTRATION AND OFFICERS
SECTION 1. The officers of Adirondack Jeeps shall consist of President, Vice President, Secretary, and Treasurer, and shall be known as the Executive Committee. It shall be their duty to draw up an agenda for all Board and membership meetings, and it shall be their duty to assume the function of the Board of Directors in cases of emergency when time is of the essence.
SECTION 2. The Board of Directors of Adirondack Jeeps shall consist of the members of the Executive Committee, and the Founding Members. Duties of the Board shall be to conduct the dayto- day business, to take such actions that might best fulfill the aims of this organization, and to audit the books of the previous administration. The Board shall meet quarterly or as necessary, and four members, in addition to the President and Vice President, shall constitute a quorum of that body. Any OFFICER AND/OR Board member not maintaining the attendance requirement for the regular meeting and attending two Board of Directors meetings AND TWO REGULAR MEETINGS in any TWELVE month period, without valid excuse approved by the Board of Directors, shall be relieved of their duties as an OFFICER AND/OR Board member.
SECTION 3. The Founding members are Steven Alheim, Dan Miller, Floyd Miller, Jack Schneider, and Jeff Bleau.
ARTICLE VI - DUTIES ADMINISTRATION AND OFFICERS
SECTION 1. The President shall preside over all membership and Board meetings and be present at all events whenever possible. He/She shall be the executive officer and shall have the duty to carry out the policies and decisions of the Board of Directors. He/She shall be without right to vote except in the event of a tie. He/She shall sign checks with the Secretary and/or Treasurer, unless both are members of the same family. This is a two-year term of office and is elected in the odd years. The president is the person who takes on the largest responsibility within the club. He/She moderates all business meetings. All important documents have the president's signature. All outside contacts are made through the president OR HIS APPOINTED REPRESENTATIVE. The president is responsible for smooth operations within the club. The president secures others to fill important positions and committees. He is responsible for representation at the North East Four Wheel Drive Association meetings. The president runs all business meetings and tries to maintain a presence at all functions. The president initiates disciplinary process. The President is responsible for promoting Adirondack Jeeps in a positive light and recruiting membership.
SECTION 2. The Vice President shall, in the absence of the President, serve in that capacity. He/She shall be the public relations officer for the club. He/She shall also act as the Trail Master for the year, seeing that the runs are properly planned and appointing trip Trail Leader. He/She shall keep, maintain, and submit to EC4WDA completed land use forms. He/She shall have the power to sign checks when necessary. This is a two-year term of office and is elected in the even years. The VP is the second most important job within the organization. The VP shall act as President in his absence. The VP is responsible for maintaining a land use conservation effort. The VP is responsible for promoting Adirondack Jeeps in a positive light and recruiting membership.
SECTION 3. The Secretary shall keep and preserve all records and minutes of the meetings of the regular membership and the Board of Directors, shall assume the responsibility of ledger roll call, shall keep a file system of membership, and shall receive and answer all general correspondence pertaining to the organization. He/She shall sign checks with the Treasurer and shall notify OFFICERS/BOD MEMBERS who have not attended THE MINIMUM MEETING REQUIREMENTS SET FORTH ABOVE. This is a two-year term of office and is elected in the even years. The secretary is responsible for keeping accurate minutes of all business meetings and keeping membership appraised of new members. The secretary is responsible for maintaining a membership database, and updating bi-annually. The secretary is responsible for making sure new member packets are together and sent out to new members AND SPONSOR LISTS ARE GENERATED AND SENT. Responsible for finding substitute when absent. The Secretary is responsible for promoting Adirondack Jeeps in a positive light and promoting membership.
SECTION 4. The Treasurer shall keep accurate and complete records of the funds and accounts of this organization and shall collect dues and maintain a record thereof, and shall notify members whose dues are two months in arrears. He/She shall make such disbursements from the funds of the organization as are directed by the Board of Directors and Article VII hereof. This is a two-year term of office and is elected in the odd years. The treasurer is responsible for keeping track of Adirondack Jeeps funds. The treasurer receives dues money, donations, and other incoming funds and deposits them into the Checking account. The treasurer receives bills and pays them. The Treasurer reports at Quarterly meetings available funds, past expenditures, and upcoming expenditures. The treasurer is responsible for annual audit of funds, and making annual income tax report if needed. The Treasurer is responsible for promoting Adirondack Jeeps in a positive light and promoting membership.
ARTICLE VII - EXPENDITURES AND FINANCE
SECTION 1. All monies received from all sources shall immediately be turned over to the Treasurer to be deposited in the checking or savings account of Adirondack Jeeps.
SECTION 2. The president may make expenditures less than $100. The Board of Directors shall approve all expenditures and matters concerning club finances greater than $100 and less than $500. All expenditures over $500.00 shall be approved by a majority vote of members present at a regular general meeting. All expenditures shall be made by check, and the item for which each check is drawn shall be designated on the face or reverse of the check. If funds for more than one purpose are included, they shall be itemized separately, stating the amount for each.
SECTION 3. All expenditures of club monies are to be dispensed only upon presentation of bills from vendors or receipts from vendors, for payments made by members. In the case where no receipts are available, full documentation must be presented in support of the expenditure.
ARTICLE VIII - COMMITTEES
SECTION 1. The Board of Directors shall designate committees.
SECTION 2. The delegates to EC4WDA shall be the President and Vice President. The duties of the Delegate are to represent and vote for the club at Association meetings; to represent the club at other meetings deemed necessary by the Board of Directors.
SECTION 3. The Delegate from this organization shall have the necessary expenses for his or her gas, food, and lodging, traveling to and from the Association meetings or other meetings deemed necessary by the Board of Directors. The Delegate or Alternate Delegate shall be paid a maximum per meeting as set and revised by the Board of Directors.
ARTICLE IX - ELECTIONS
SECTION 1. The membership shall meet and nominate officers for each calendar year at the OCTOBER regular meeting OR ONLINE IMMEDIATELY FOLLOWING SAID MEETING. Nominations shall close and elections held at the NOVEMBER regular meeting. The newly elected officers shall take office at the first January meeting. Voting shall be in person or by mail/EMAIL/PRIVATE MESSAGE and not by proxy.
SECTION 2. Balloting shall be held by secret ballot. All ballots must be counted and checked by three members other than nominees.
SECTION 3. In the event of a vacancy in the office of President, Vice-President, Secretary, or Treasurer, or other Board of Directors position, an election shall be called to elect the successor. SECTION 4. Terms of office for officers will be two (2) years; President and Treasurer terms begin in even years (ie - 02, 04, etc.), Vice-President and Secretary terms begin in odd years (ie - 01, 03, etc.). THE TERM OF LAND USE CHAIRMAN IS SET AT ONE YEAR. Officers may serve successive terms if elected. CLUB OFFICERS WILL RECEIVE 1 FREE YEAR OF MEMBERSHIP TO ADIRONDACK JEEPS AND EC4WDA UPON COMPLETION OF 1 YEAR OF SERVING. (IE, ELECTED IN FALL OF 2008, NO DUES IN FALL OF 2009; IF SERVING ALL OF 2010, NO DUES IN 2011). EARLY RESIGNATION OR DISMISSAL AND DUES WILL BE ASSESSED ON A PRORATED BASIS.
ARTICLE XI - EVENTS & TRAIL RIDES
SECTION 1. All events shall be subject to the approval of the Board of Directors.
SECTION 2. All members, including the President, Vice President, Secretary, and Treasurer are responsible to the direction of the appointed Trail LEADER and appointed assistants from the set time of the beginning of the event to the termination of an event. At no time has any member or officer the right to demand an unscheduled stop or a change of route or plan. No provision is to be made to permit any member to join an event at any location or time other than the location and time decided upon for the event if such provision causes any change of time, any stop, any delay, or any change of route.
SECTION 3. All events must be conducted in an orderly manner and with the safety as the prime factor. Any event held on private property will be subject to liability releases.
SECTION 4. No member or guest under the age of eighteen years will be permitted to drive in any event unless accompanied by or with written permission of parent or guardian.
SECTION 5. (This section currently under review/ ADKJ does not sponsor competitive events) All events determined by the Board of Directors to be hazardous shall be under the direct authority, supervision and control of the Board of Directors. The Board OR BOARD CREATED EVENT COMMITTEE shall determine entrance classifications and regulations for various events and shall approve trophies and awards to be presented. Anyone determined to be physically or mentally disturbed, or under the influence of alcohol or drugs, at anytime of an event shall be disqualified. Vehicles may be subject to vehicle inspection varying according to the type of event and shall be disqualified if found to be mechanically unsafe. We agree that there be no act at any club event or outing that will endanger the life of any one present.
Safety requirements and recommendations:
a. Each vehicle shall be equipped with a First Aid Kit.
b. A fire extinguisher shall be in each vehicle. A 2 1/2 lb. ABC rated, dry chemical fire
extinguisher with operative pressure gauge and brass valves is recommended.
c. Each vehicle will be equipped with tow hooks in front and a solid tow point in rear.
d. Each vehicle should have a citizen band (CB) radio.
e. Each vehicle will carry a tow strap.
f. Minimum tire size shall be 30"; maximum tire size shall be 40" or metric equivalent.
g. New members will have their rig inspected on their first trail ride OR BEFORE, if available.
SECTION 6. All members and guests participating in an event shall abide by the Motor Vehicle Code of the State concerned and by the laws and regulations of the city, county, or the circumstances involved. The welfare and reception of the club depends upon the character it gains with the city, county, state, and federal authorities. We are not irresponsible drivers. Any flagrant violation of the codes is sufficient cause for the removal of membership privileges, subject to a decision by the Board of Directors.
SECTION 7. Rules for the Trail LEADER:
a. Select destination, place and time of departure and return.
b. Plan exact route, stops and lengths of stops enroute.
c. It shall be the responsibility of the Trail LEADER to appoint an alternate Trail Leader if it is
impossible for him/her to make his/her designated run.
d. Failure to accept responsibility three consecutive times without an acceptable excuse will result
in a member's being dropped from membership of the club.
e. It is the responsibility of the Trail LEADER to place the vehicles as he/she wants them at the
beginning of the run and to specify whether it be (1) buddy system (2) each vehicle
responsible for the one behind it, or (3) use of the radio.
f. In the event of a cancellation it is the responsibility of the Trail LEADER to notify all members.
g. Anyone not present at the specific place and time of departure will understand that they are
on their own to join the caravan.
h. IT IS RECOMMENDED THAT the vehicles will be spaced no closer than two hundred feet
or farther than four hundred feet apart. This applies to highway driving.
i. If any vehicle drops out of the caravan, except in case of emergency, they are on their own.
ARTICLE XII - RULES AND PROCEDURES
SECTION 1. Members are expected to maintain order throughout each meeting. To obtain the floor, a member must raise their hand and be recognized by the President or presiding officer.
SECTION 2. These Bylaws, Robert's Rules of Order Newly Revised 10th Edition, and a majority vote of the membership, unless otherwise specified, shall govern all proceedings.
ARTICLE XIII - ADIRONDACK JEEPS EMBLEM
SECTION 1. The Adirondack Jeeps emblem is round, approx. 4" in diameter, and multi-colored. The club name is written in Tempus Sans ITC font over a mountain and lake bordered by two pine trees.
ARTICLE XIV - ADIRONDACK JEEPS FORUM
SECTION 1. The Adirondack Jeeps Forum is set up as a means for the general public and club members to interact and plan activities. Because it is an open forum, it is regarded as our primary introduction to prospective members and sponsors. Therefore, all activity will be closely monitored to ensure our image is one of a "family-friendly" club.
As per the May 2005 minutes;
Club Forum
a. Club forum and club entity are one. They will not be looked at separately.
b. Two administrators will be selected by president as needed.
c. Moderators will be selected by the VICE-PRESIDENT.
d. Racial and personal attacks will not be tolerated on the forum.
e. 3 month ban for breaking forum rules (see Forum); this applies to club membership AS WELL AS THE FORUM.
f. The closing of the forum may occur to protect the image of ADKJeeps.
g. ALL RIDES ORGANIZED AND PROMOTED ON OUR FORUM MUST ADHERE TO THE GENERAL PRINCIPLES OF OUR ORGANIZATION,
REGARDLESS OF CLUB MEMBERSHIP.
